The following
guidelines detail the relationship between you (Client) and The Montclair
Management Group (MMG). Please read carefully and then indicate your
agreement at the end of this description. If any section is unclear
or you feel does not fit well with the project you have in mind, please
contact us. In the absence of any such contact and once you indicate
your acceptance, we will both have the right to believe the following
pertains to our relationship with you or the company you represent.
Names and Addresses of the
Parties: This agreement is between the individual and/or
Company named in the form at the bottom of this page, and The Montclair
Management Group, 105 Cumberland Avenue, Verona, NJ 07044-2107.
Date of this Agreement:
The date of this agreement shall be the date on which the form located at
the bottom of this Agreement is submitted.
Recital:
The
Client requests assistance from MMG in the successful completion of a
project or task within the area of MMG's expertise.
MMG Agrees to:
Provide consultative services in a professional manner; to refuse work on
a project or task about which they have insufficient expertise and/or
experience; report progress on a timely basis; and to exercise prudent judgment
on behalf of the Client.
Client Agrees to:
Pay for such services per the guidelines below; to clearly define for the
consultant the nature and scope of the project on which they request
assistance or guidance; and to notify MMG immediately in the event they
feel a change in scope is necessary.
Timing of Services:
MMG agrees to expedite requests for services in a timely fashion.
Upon receipt of the Client's request, MMG agrees to confirm their
understanding of the scope and nature of the project within days via
e-mail.
Term of Agreement:
This agreement shall remain in effect for one year from the latter of the
receipt of both the Client's acceptance of this agreement electronically
and our receipt of a retainer, and shall be automatically
renewable in the absence of any notification by either party to the
contrary. Such notice can be issued electronically to the address
indicated below.
Cost of Services Rendered:
The introductory fee for basic consultative services is $125 per hour devoted to the
completion of the project regardless of where the services are
performed. Travel to and from the Client's site or other field
location will be charged at the same rate for only one direction. Work
performed on the project is billed in 15 minute increments.
Expenses, e.g. tolls, parking, mass transit, overnight accommodations and
meals when the duration of a site or field visit requires, will all be
billed for reimbursement. Purchase made on the Client's behalf will
be billed for reimbursement including a 3% up charge to cover bank costs.
If and when this introductory fee is discontinued, or when the task at
hand will require us to perform a given task at a different rate, you will
be notified and given the opportunity to decide the merits of the
change. Until such notification, all work will be done at the
introductory rate.
Timing & Method of
Payment:
A. Initial engagement - all first time engagements are
preceded by an advance payment (retainer). We have a Payment Page on

B. Ongoing projects - are billed frequently during the course
of the project via invoice attached to e-mails. Payments are due
upon receipt. Because we are providing only time there is no margin
created by the reselling of goods that will compensate us for carrying a
receivable. MMG reserves the right to withhold services in the event
there are unpaid invoices.
C. Method of payment - Our preferred method of receiving
payments is by Credit Card using our on-line Payment Page on
this Web
Site. Alternatively, payment by check is acceptable if the Client
adheres to the need for prompt processing. Our hourly rate reflects
the expectation that we have no delayed compensation from our clients.
Warranties:
Warranties supplied by the manufacturer of goods purchased by us on your
behalf will apply. We do not buy and then resell equipment. We
do perform the service of buying goods for you at your direction.
Because we do not act as dealers or distributors, all warranties come from
the manufacturer.
Notices / Communications between Parties:
E-Mail will be considered "official communications" between the
parties when accompanied by a delivery receipt. MMG will consider
such e-mails as official when sent to Sales@PaperSavers.com.
MMG will use the e-mail address entered in the form below as a means of
officially communicating with the Client.
